Please read these Terms of Service (“Terms”) carefully before using the lynote.ai website, the Lynote AI learning assistant, and its associated media processing tools (collectively, the “Service”) operated by Lynote (“us,” “we,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.
1. Description of the Service
Lynote provides an AI-powered suite designed to assist with learning and content processing. The Service includes an AI assistant that generates summaries from various content formats, and media processing tools that allow users to process or download content from supported third-party platforms strictly for personal, non-commercial, or fair use.
2. Service Evolution & Dynamic Credit Economy
2.1 Beta Features: You acknowledge that Lynote may offer features in a "Beta" phase. Any features, usage limits, or pricing tiers offered during this phase are promotional and subject to change at our sole discretion.
2.2 Dynamic Credit System: Lynote operates on a credit-based system for AI generation. We reserve the right, at our sole discretion, to define and update the credit "exchange rate" required for specific tasks. Modifications to credit usage rates will apply immediately to all users. We do not guarantee that early-adopter allocations will persist in future versions.
3. User Accounts
You guarantee that you are above the age of 13 and that the information you provide is accurate. You are solely responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
4. User Content & AI Output
4.1 Your Content & Output: You retain ownership of the data you provide to Lynote ("User Content"). To the maximum extent permitted by applicable law, Lynote assigns to you all its rights in the AI-generated output based on your User Content ("Output"). You are solely responsible for ensuring the Output does not violate third-party rights.
4.2 License to Us & Data Processing: You grant us a worldwide, non-exclusive, royalty-free license to use your User Content to operate and improve the Service. We will use commercially reasonable efforts to anonymize data before using it to improve our AI models. To the fullest extent permitted by law, you grant us the right to process such aggregated data for model enhancement.
4.3 Prohibited Conduct: You agree not to use the Service to: act unlawfully; infringe intellectual property; reverse engineer our AI models; use bots to bypass limits; or bypass technical protection measures on any third-party platform .
5. Copyright Compliance & Media Processing
This section applies to media processing and downloading features.
a) User Responsibility: Our Service processes publicly available data only upon your request. We do not host or distribute copyrighted media on our servers. You act as the sole initiator of any content processing. b) Compliance: You verify that you have the legal right to process the content (e.g., via ownership, license, public domain, or Fair Use) . You agree not to use our Service in a way that violates the Terms of Service of any third-party platform. c) Indemnification: You assume full responsibility for any legal consequences arising from your use of media obtained through our Service. You agree to indemnify and hold Lynote harmless from any claims, damages, or legal fees arising from your breach of third-party rights.
6. DMCA Copyright Policy
We respect intellectual property rights. If you are a copyright owner and believe the Service is facilitating access to your work constituting infringement, please submit your notice to support@lynote.ai.
7. Subscription, Billing, and Refunds
7.1 Subscriptions & Renewals: Lynote offers periodic subscription plans. All subscriptions renew automatically unless canceled at least 24 hours before the renewal date through your account settings. 7.2 Refund Policy: Subject to applicable consumer laws (including the EU right of withdrawal, where not expressly waived by you upon accessing the digital content), paid subscription fees are non-refundable. Refund requests based on severe, verified technical issues preventing core service use may be granted strictly at our sole discretion. Dissatisfaction with AI output or changes in credit rates do not constitute technical issues.
8. AI Content Disclaimer
Lynote utilizes AI, which may produce inaccurate information ("hallucinations"). We do not guarantee the accuracy or reliability of any AI-generated content. Lynote is not liable for any academic or professional consequences resulting from your reliance on the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF THE SERVICE. YOU ACKNOWLEDGE THAT THIRD-PARTY PLATFORMS MAY UPDATE THEIR TECHNICAL MEASURES AT ANY TIME, RENDERING CERTAIN FEATURES NON-FUNCTIONAL. WE ARE NOT LIABLE FOR SUCH INTERRUPTIONS.
10. Limitation of Liability
IN NO EVENT SHALL LYNOTE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by law, our total liability shall not exceed the amount paid by you to Lynote in the 12 months preceding the claim.
11. Termination & Changes to Terms
We may suspend or terminate your account immediately, under our sole discretion, for any reason whatsoever. We reserve the right to modify these Terms at any time. We will use commercially reasonable efforts to notify you of material changes, which will become effective immediately upon posting unless otherwise stated. By continuing to use the Service, you agree to the revised terms.
12. Governing Law & Dispute Resolution (Mandatory Arbitration)
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding, individual arbitration. YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
